Terms of Service

Agreement to Terms

These Terms of Service ("Terms") constitute a legal agreement between Jexaqa ("Company," "we," "us," "our") and you ("Client," "you," "your"). By accessing and using the services provided by Jexaqa, you acknowledge that you have read, understood, and agree to be bound by all the terms and conditions contained herein.

Description of Services

Jexaqa provides professional UX design services including UI Design, User Experience Strategy, User Research, and Design Systems. The specific scope of services will be defined in individual project agreements between the Company and the Client.

Payment Terms

Unless otherwise agreed in writing, all invoices are due within 30 days of receipt. Late payments may incur a service charge of 1.5% per month on the outstanding balance. The Company reserves the right to suspend services if payment is more than 15 days overdue.

Intellectual Property Rights

Upon full payment of invoices, all original design work and deliverables created by Jexaqa specifically for the Client shall become the property of the Client. However, the Company retains the right to display the work in its portfolio and use it for promotional purposes with appropriate credit and attribution.

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary information shared during the course of the project. This obligation shall survive the termination of the agreement for a period of two years.

Limitation of Liability

In no event shall Jexaqa be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, arising out of or in connection with the services provided, even if advised of the possibility of such damages.

Warranties Disclaimer

The services are provided on an "as-is" basis. Jexaqa does not warrant that the services will meet your specific requirements or expectations, or that the services will be error-free or uninterrupted.

Termination

Either party may terminate the project agreement with 30 days written notice. Upon termination, the Client remains responsible for payment of all work completed to date and any non-cancellable expenses incurred.

Modifications to Terms

Jexaqa reserves the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to the website. Your continued use of our services following the posting of changes constitutes your acceptance of such changes.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Jexaqa operates, without regard to its conflict of law provisions.
